1. Acceptance of Terms
By accessing or using RE-Efficient (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
RE-Efficient is an AI-powered customer relationship management platform designed for real estate professionals. The Service allows you to manage contacts, send emails through your own connected email provider, schedule appointments, track transactions, and integrate with third-party AI assistants (such as Anthropic Claude or OpenAI ChatGPT) via the Model Context Protocol.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
4. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at ryan@re-efficient.com if you suspect unauthorized access.
5. Acceptable Use
You agree not to:
- Use the Service to send spam, phishing, or unsolicited bulk email
- Violate any applicable law including the CAN-SPAM Act, TCPA, GDPR, or equivalent regulations in your jurisdiction
- Attempt to gain unauthorized access to other tenants' data
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to harass, defraud, or harm others
- Resell or sublicense the Service without our written permission
6. AI Tools — Your Use, Your Responsibility
RE-Efficient provides tools (the "Tools") that your connected AI assistant (e.g., Anthropic Claude, OpenAI ChatGPT, or other models you connect via the Model Context Protocol) can invoke on your behalf. The Tools include but are not limited to: drafting and sending emails through your connected provider, creating and updating calendar events, managing your contacts and transactions, filing documents to your account, enrolling contacts in nurture sequences, and pulling fields from contracts.
You are responsible for any action your connected AI takes through the Tools. The AI is your agent; the Tools are the steering wheel; you are the driver. We do not monitor, review, or pre-approve the actions your AI performs in your account. Specifically, you agree that:
- Email and other communications. You will comply with the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and any other applicable communications law where you and your recipients are located. RE-Efficient enforces some technical guardrails (e.g., honoring opt-outs, blocking sends from a teammate's mailbox), but ultimate compliance is your obligation.
- Real estate licensing and disclosures. You are responsible for complying with the licensing, advertising, and disclosure rules of your DRE or equivalent authority, your brokerage, the California Association of REALTORS® (or equivalent), and the laws of any state or jurisdiction where you transact. The Service does not provide legal advice and does not pre-clear content for compliance with brokerage-specific or state-specific disclosure footers.
- Fair Housing and anti-discrimination. You will not use the Tools to draft, send, or store content that violates the Fair Housing Act, your state's equivalent, or any other anti-discrimination law.
- Client confidential information. Signed contracts, disclosures, and the personal details of your clients are confidential. You are responsible for who you grant access to your account (including any AI session you keep open), and for revoking access when no longer authorized.
- Reviewing AI output. The connected AI may make mistakes — misreading a contract, drafting an email with a wrong figure, or invoking the wrong Tool. You agree to review AI-generated content (draft emails, extracted contract dates, contact creations, and any other AI-initiated changes) before relying on it or sending it externally.
- Lawful purpose. You will not use the Tools to do anything unlawful, defamatory, harassing, discriminatory, or deceptive, regardless of whether your AI prompted the action or you initiated it.
If the Service flags content as non-compliant or auto-pauses a send (for example, on an opt-out flag), you agree to investigate and resolve the underlying issue rather than circumvent the guardrail.
7. Connected Services
The Service integrates with third-party services including Google (Gmail, Calendar) and may integrate with others in the future, such as Microsoft (Outlook, Microsoft 365 Calendar). Your use of those third-party services is subject to their respective terms. We are not responsible for the availability or behavior of third-party services.
8. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by Ryan Ponce and protected by intellectual property laws. You retain ownership of all content you create or upload to the Service. By uploading content, you grant us a limited license to host, display, and process that content solely to provide the Service to you.
Project Instructions and Tool Catalog. The "Optimize Your AI Experience" generated project-instructions document, the descriptions of our MCP Tools as exposed through the connector, the dynamic system prompt the Service serves to your connected AI, and any related guidance materials are RE-Efficient's proprietary materials. We license these materials to you for one purpose only: operating your own connected AI against your own RE-Efficient account. You agree NOT to:
- Redistribute, republish, or share these materials with any third party (including by paste into another product, posting on a public forum, or uploading to a shared workspace)
- Use these materials as training data for, or as the foundation of, a competing service or AI product
- Reproduce the Tools, their descriptions, or the workflows they implement in another product, whether for resale, internal use at a brokerage, or any other purpose
- Provide these materials to a developer, contractor, or consultant building anything that overlaps with the Service
The Tools and the project-instructions document represent significant accumulated domain expertise. Treat them as you would a competitor's playbook handed to you in confidence.
9. Privacy
Your privacy is important to us. Please review our Privacy Policy for details on how we collect and use information.
10. Pricing and Payment
The Service may offer free and paid tiers. Pricing, billing terms, and refund policies for paid tiers will be presented at the time of subscription. We reserve the right to change pricing with 30 days' notice to active subscribers.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, we will delete your data in accordance with the Privacy Policy.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
Beta Status. RE-Efficient is currently in beta. The Service may change without notice; features may be added, modified, deprecated, or removed at any time; performance may vary; and data integrity, while important to us, is not guaranteed during the beta period. You should maintain your own backups of business-critical content. By using the Service during the beta period, you acknowledge that you are an early user and accept that the Service may behave inconsistently or contain bugs that are not yet documented. We recommend not using the Service as the sole system of record for any deal or client communication that would be materially harmed by a temporary outage or data inconsistency.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RE-EFFICIENT AND RYAN PONCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless RE-Efficient and Ryan Ponce from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
15. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in San Diego County, California.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through a prominent notice in the Service at least 30 days before they take effect.
